These Terms & Conditions ("Terms") govern your access to and use of KlenaPro, a housekeeping and workforce management platform ("the Service") operated under the trading name "KlenaPro". By creating an account, accepting these Terms, or using the Service, you agree to be bound by them. If you do not agree, you must not use the Service.
KlenaPro provides tools for managing motel and accommodation housekeeping, including daily room lists, cleaning workflows, timesheets, payroll estimates, scheduling and reporting. The Service is provided on a subscription basis and may be updated, changed or improved from time to time. We may add, modify or remove features at our discretion.
You are responsible for the accounts created under your motel, for keeping login credentials secure, and for all activity that occurs under those accounts. You must provide accurate information and ensure that the people you invite (managers, owners and cleaners) are authorised to access your data. You must notify us promptly of any unauthorised use of your account.
The Service is billed on a subscription basis, calculated on your usage (for example per cleaner and per room, per week, billed monthly). The applicable rates are shown to you before you subscribe.
PRICE LOCK: The per-unit rates that apply to your subscription are fixed at the time your paid subscription begins and remain unchanged for as long as your subscription stays valid and in good standing. If we change our standard pricing, that change applies only to (a) new subscriptions, and (b) subscriptions that have lapsed beyond the payment grace period and are subsequently reactivated. Reactivating after a full lapse means resubscribing at the then-current standard rates.
Any discounts we may apply are shown in your billing summary and are granted at our discretion for the period stated.
We may offer a free trial period. At the end of the trial, continued use requires a paid subscription. Fees are billed through our payment processor. Failure to pay may result in your account entering a payment grace period, after which access to create, edit or delete data may be suspended (read-only) until payment is resolved. You remain able to view your existing data during suspension.
You retain ownership of the data you enter into the Service. You grant us the rights necessary to host, process and display that data in order to provide the Service. While we take reasonable steps to protect and retain your data, you are responsible for keeping your own records and backups of information important to your business. We do not guarantee that data will never be lost or corrupted.
The Service is provided "as is" and "as available". We do not warrant that the Service will be uninterrupted, error-free, secure, or that it will meet your specific requirements. Estimates, times, reports and billing figures produced by the Service are provided as a convenience and may contain inaccuracies; you should verify them before relying on them for pay, tax or compliance purposes.
To the maximum extent permitted by law, KlenaPro and its operators will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, goodwill or business, arising out of or in connection with your use of (or inability to use) the Service, even if advised of the possibility of such loss. To the maximum extent permitted by law, our total aggregate liability for any claim arising out of or relating to the Service is limited to the amount of subscription fees you paid to us in the three (3) months immediately preceding the event giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including any rights you may have under the New Zealand Consumer Guarantees Act 1993 where it applies.
You agree to indemnify and hold harmless KlenaPro and its operators from and against any claims, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising from your use of the Service, your data, or your breach of these Terms or of any applicable law (including employment, payroll and privacy obligations relating to your staff).
You must not misuse the Service, including by attempting to gain unauthorised access, interfering with its operation, uploading unlawful or harmful content, or using it to breach the rights of others. We may suspend or terminate access for breach of these Terms.
You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or where required by law. On termination your right to use the Service ends; provisions that by their nature should survive (including payment, liability, indemnity and governing law) will continue to apply.
We may update these Terms from time to time. When we make material changes we will update the version and effective date, and require you to accept the updated Terms before continuing to use the Service. Continued use after acceptance constitutes agreement to the updated Terms.
These Terms are governed by the laws of New Zealand, and you submit to the non-exclusive jurisdiction of the courts of New Zealand.
